MATCHFLOW TERMS OF SERVICE

PART A — TERMS FOR ALL USERS

A1. The Service

MatchFlow is a club-management platform for racquet-sports clubs: court booking, programs and events, member matchmaking, messaging, payments, and related tools (the "Service"). These Terms are a binding agreement between you and MatchFlow. If you use the Service on behalf of a club or company, you represent you have authority to bind it, and "you" includes it.

A2. Accounts and Eligibility

You must provide accurate information and keep your credentials secure; you are responsible for activity under your account. You must be at least 13 years old to hold an account; users under 18 require consent of a parent/guardian or their club in accordance with the club's policies. We may suspend accounts that violate these Terms or create risk for the Service or its users.

A3. Acceptable Use

You will not: (a) break the law or infringe others' rights; (b) reverse engineer, decompile, or attempt to derive the source code, algorithms, models, or methods of the Service; (c) access the Service by robots, scrapers, or other automated means, or systematically extract data; (d) probe or test the Service's security without written authorization; (e) use the Service to build or benchmark a competing product; (f) interfere with the Service's operation or other users' use; (g) upload malicious code; (h) misrepresent your identity or skill rating to manipulate matchmaking; or (i) use another user's personal information except as the Service intends (e.g., club administration).

A4. Messaging and SMS

Parts of the Service send email, in-app, and SMS messages (e.g., booking confirmations, match invitations, waitlist offers, reminders). By providing a mobile number and opting in, you consent to receive such messages. Message frequency varies; message and data rates may apply. Reply STOP to stop optional messages, HELP for help. Transactional messages necessary to administer bookings you have made may continue after a STOP to the extent permitted by law. Consent to SMS is not a condition of purchasing any good or service. Carriers are not liable for delayed or undelivered messages.

A5. AI Features

The Service uses artificial intelligence for certain features (e.g., match pairing suggestions, message drafting, transcript and note analysis, and report summaries). AI outputs are generated with deterministic safeguards but may contain errors and are provided for convenience — final decisions rest with you or your club. AI features do not make automated decisions with legal or similarly significant effects about you. We do not use your club's or your personal data to train third-party foundation models.

A6. Intellectual Property

MatchFlow and its licensors own the Service and all related IP. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You retain ownership of content and data you submit; you grant us a worldwide, royalty-free license to host, process, transmit, and display it as needed to operate and improve the Service and as the Privacy Policy describes. Feedback you volunteer may be used without restriction or compensation.

A7. Third-Party Services

The Service integrates third parties (e.g., Stripe for payments, SMS carriers, email delivery). Their terms govern your use of their services; we are not responsible for third-party services.

A8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. Physical activity carries inherent risk; MatchFlow does not assess fitness to play, and match pairings are not medical or safety advice. Clubs are solely responsible for their facilities, programs, staff, and compliance.

A9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) MATCHFLOW'S TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF US$100 OR THE AMOUNTS PAID BY YOU (OR YOUR CLUB, FOR CLUB CLAIMS) TO MATCHFLOW IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply to a party's fraud, willful misconduct, or liability that cannot be limited by law.

A10. Indemnity

You will defend and indemnify MatchFlow against third-party claims arising from your content, your violation of these Terms, or (for clubs) your club's operations, facilities, or member relationships, except to the extent caused by MatchFlow's breach.

A11. Disputes; Arbitration; Class Waiver

Any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in Riverside County, California (or remotely), under its consumer rules, except either party may bring an individual claim in small-claims court or seek injunctive relief for IP misuse in court. You and MatchFlow each waive any right to a jury trial or to participate in a class action. You may opt out of arbitration by written notice within 30 days of first accepting these Terms. A12. Changes; Termination; Misc.

We may modify the Service and these Terms; material changes will be notified (email or in-app) at least 14 days before taking effect, and continued use is acceptance. You may stop using the Service at any time; data rights on termination are described in the Privacy Policy and (for clubs) the DPA. If any provision is unenforceable, the rest remain in effect. These Terms plus the Privacy Policy (and, for clubs, the Club Terms and DPA) are the entire agreement.

PART B — ADDITIONAL TERMS FOR CLUBS

B1. Club Responsibilities

The club is the business customer and controls its club workspace, staff roles, member records, programs, pricing, and communications. The club is responsible for: (a) the lawfulness of member data it enters or imports (including having provided any required notices and obtained any required consents); (b) its staff's use of the Service; (c) honoring member requests it receives directly; and (d) its facilities and events.

B2. Payments

Payments are processed by Stripe under Stripe's terms (including Stripe Connect and Connected Account agreements). The club — not MatchFlow — is the merchant of record for club sales. MatchFlow charges a platform fee of 1% on card transactions processed through the Service, plus Stripe's processing fees, as displayed in the club dashboard. Fees may change on 30 days' notice. Refunds, chargebacks, taxes, and member billing disputes are the club's responsibility.

B3. Data Processing

For personal data of members subject to the GDPR or similar laws, the Data Processing Addendum is incorporated into these Terms; MatchFlow processes member personal data as the club's processor/service provider as described there and in the subprocessor list.

B4. Club Content and Branding

The club grants MatchFlow a license to display club names, logos, and content within the Service to operate the club's workspace. MatchFlow may identify the club as a customer with the club's prior consent.

PART C — ADDITIONAL TERMS FOR MEMBERS

C1. Your Club Relationship

Your club, not MatchFlow, sets club rules, pricing, programs, and membership terms. MatchFlow provides the software; disputes about club fees, access, or conduct are between you and your club.

C2. Matchmaking

Matchmaking uses information such as your skill rating, availability, format preferences, play history, and club-configured settings to propose fair matches. Court access order is based on queue fairness, not skill. You can decline proposed matches; clubs review and approve match proposals. See the Privacy Policy for what information is used and your rights.

C3. Payments by Members

Member payments for club services are made to your club via Stripe. Your card details are handled by Stripe and never stored by MatchFlow.
